Under data protection legislation, we are required to provide you with certain information about who we are, how we process your personal data and for what purposes and your rights in relation to your personal data and how to exercise them. This information is provided in our Privacy Policy and it is important that you read that information.
We may need to change these authorised user terms to reflect changes in law or best practice or to deal with changes made to the online services terms relating to our Stamp Check Service (our “Stamp Check Service” is the subscription service you are about to access through this website).
We will notify you of a change when you next log into our Stamp Check Service.
If you do not accept the notified changes you will not be permitted to continue to use our Stamp Check Service as an authorised user.
You undertake:
a) you will keep your password secure;
b) you will not access, store, distribute or transmit any Virus (defined below), or any material during the course of your use of the Stamp Check Service that:
a. is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
b. facilitates illegal activity;
c. depicts sexually explicit images;
d. promotes unlawful violence;
e. is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or
f. is otherwise illegal or causes damage or injury to any person or property;
and we reserve the right, without liability or prejudice to our other rights, to disable your access to our Stamp Check Service in the event of breaches of the provisions of this clause.
For the purposes of these authorised end user terms “Virus” shall mean any thing or device (including any software, code, file or programme) which may: prevent, impair or otherwise adversely affect the operation of any computer software, hardware or network, any telecommunications service, equipment or network or any other service or device; prevent, impair or otherwise adversely affect access to or the operation of any programme or data, including the reliability of any programme or data (whether by re-arranging, altering or erasing the programme or data in whole or part or otherwise); or adversely affect the user experience, including worms, trojan horses, viruses and other similar things or devices.
c) You shall not:
a. except as may be allowed by any applicable law which is incapable of exclusion by agreement:
i. attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Stamp Check Service and/or Documentation (as applicable) in any form or media or by any means. For the purpose of these end user terms “Documentation” shall mean the document we make available to you online via stamp.expert or such other web address we notify you from time to time which sets out a description of the Stamp Check Service and the user instructions for the Stamp Check Service; or
ii. attempt to de-compile, reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Stamp Check Service; or
b. access all or any part of the Stamp Check Service and Documentation in order to build a product or service which competes with the Stamp Check Service and/or the Documentation; or
c. use the Stamp Check Service and/or Documentation to provide services to third parties other than in the normal course of business; or
d. license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Stamp Check Service and/or Documentation available to any third party; or
e. attempt to obtain, or assist third parties in obtaining, access to the Stamp Check Service and/or Documentation; or
f. introduce or permit the introduction of, any Virus (as defined above) or Vulnerability into our network and information systems. For the purposes of these authorised end user terms “Vulnerability” shall mean a weakness in the computational logic (for example, code) found in software and hardware components that when exploited, results in a negative impact to the confidentiality, integrity, or availability, and the term ‘Vulnerabilities’ shall be construed accordingly.
d) You will use all reasonable endeavours to prevent any unauthorised access to, or use of, the Stamp Check Service and/or the Documentation and, in the event of any such unauthorised access or use, notify us promptly.
All intellectual property rights in or arising out of or in connection with the Stamp Check Service and Documentation will be owned by us.
Our Stamp Check Service enables you to make referrals to Compass for specialist advice on the calculation of SDLT provided by the Stamp Check Service. Where you request such a referral to Compass by clicking the “refer” button on screen, we will pass your contact information to Compass (together with the contact information of your client) so that Compass may:
(a) Contact your client directly to contract with them for Compass’s SDLT advice; and
(b) Liaise with you in relation to the advice Compass provides to your client.
Before the “refer for detailed review” button on screen becomes active, you will need to pay Compass’s fee in advance by using our online payment facility and clicking the “Pay Compass’s Fee” button on screen. We will collect this payment as Compass’s agent and pass it to Compass as soon as possible after your client has contracted with them.
By clicking the “refer for detailed review” button on screen, you confirm that you have obtained your client’s consent (or have another lawful basis under Data Protection Legislation) to provide their personal data to us for the following purposes:
(a) Allowing us to use their personal data as necessary to supply the Stamp Check Service to you;
(b) Referring your client to Compass, where you have requested us to do so; and
(c) Allowing Compass to use their personal data to contact your client and contract with them for SDLT advisory services.
You agree to provide evidence of this consent (or other legal basis under Data Protection Legislation) if we request it.
Compass will provide their advice in accordance with their own terms and conditions, which will be sent directly to your client using the contact information you have provided. Compass will use the personal data you have supplied in accordance with their Privacy Policy.
While we collect your payment to Compass as their agent, we are not a party to the contract between your client and Compass. Accordingly, we make no representation, warranty, or commitment regarding Compass’s services, and we accept no liability in relation to your client’s contract with Compass. You remain solely responsible for your recommendation to your client to use Compass for SDLT advice.
Where your client contracts with Compass for SDLT advice, Compass’s fee starts at £99 + VAT and may vary depending on the complexity of the case. The final fee will be confirmed upon referral.
Example:
For a £1,600,000 property, Compass’s fee will be confirmed upon review, based on case complexity and applicable tax advisory requirements.
You must pay Compass’s fee before a referral is made using our online payment facility. We will collect Compass’s fee as their agent.
For your reassurance, Compass carries professional indemnity insurance of £1,000,000 per claim in respect of SDLT advice provided through the Stamp Check Service.
If your client chooses not to engage Compass for SDLT advice after payment, we will refund the fee in full. However, we can only process this refund once Compass confirms that your client has not engaged their services.
You can view the SDLT risk rating for the property or land you have opened a case for at any time. The first time you view the risk rating for a particular property or land you will be charged a risk rating fee. The amount of the risk rating fee will be set out on screen before you view the SDLT risk rating. You will not be charged a further fee for viewing the SDLT risk rating for the same property or land.
